BROWN GROUP LADIES’ LEAGUE – BYLAWS
ARTICLE I: NAME
The name of the organization shall be Brown Group Ladies’ 18 Hole Golf League.
ARTICLE II: PURPOSE
The purpose of the organization shall be to further the enjoyment of golf, stimulate sportsmanship, promote friendship and provide an incentive for better golf.
ARTICLE III: MEMBERSHIP
Any woman who is a member of the Brown Group, has an established handicap, pays the Brown Group Ladies’ Golf League dues and is 21 years of age or older is eligible for membership. The 20 card pass is considered a member. However, one must use the card pass to play on league day — the member cannot use a “special” offered by Brown Golf.
ARTICLE IV: DUES
The amount of the dues shall be determined by the Board and shall be paid before participating in league play/event. The money from dues shall be used for expenses incurred by the league.
ARTICLE V: GOVERNING BODY
The officers shall be President, Vice President, Secretary, Treasurer and Current Past President.
The executive committee will be made up of the President, Current Past President and Director(s) of Activities and Events.
The board shall be composed of no fewer than ten active league members with at least one representative from each of the clubs in the regular monthly rotation.
ARTICLE VI: DUTIES OF OFFICERS
The PRESIDENT shall preside at all meetings and have general supervision over the affairs of the League. She shall appoint, before the first Board Meeting of the year any committees she deems necessary. Following her term of office, she shall be an ex-officio member of the Board for one year as the Current Past President.
The VICE PRESIDENT, in the absence of the President, shall perform the duties of the President. She shall assist the President as needed and at the end of her term may succeed to the Presidency.
The SECRETARY shall keep the minutes of all meetings and disperse, as needed, all pertinent information to the general membership.
The TREASURER shall receive and disburse all funds of the association and shall be responsible for keeping an accurate record of all transactions, keep a list of all paid members and provide reports to the board whenever transactions are made.
ARTICLE VII: DUTIES OF DIRECTOR OF ACTIVITIES AND EVENTS
The Director of Activities and Events shall be responsible for outing (making tee times for regular league play); Special Events (Member/Member, EPIC), Holidays.
ARTICLE VIII: BY-LAWS
The President and Board will review and revise the bylaws as deemed necessary. Changes to the by-laws require a 2/3 vote of the entire Board of Directors. The Bylaws will be posted on the Brown Members’ website.
Proposed amendments must be posted at least 30 days in advance of said meeting.
ARTICLE IX: ELECTIONS
The nominating committee shall consist of 4 members, the Current Past President and 3 other members whom she will appoint and who will represent a cross section of the membership. One does not have to be a Board Member to be on the committee.
The nominating committee shall submit a slate of officers to be posted 30 days on the website, bulletin boards and by email prior to final spring luncheon.
All members will be sent a ballot via email and results announced at the Spring Luncheon.
Officers shall be elected for a one year period.
Board members shall be elected for a two year term at which time she will rotate off the Board. A Board Member cannot serve 2 consecutive terms. If a Board Member does not fulfill the two year term and she is not an officer of the Board, that vacancy will be filled at the regular yearly election.
In the event of a vacancy in the unexpired term of any officer, the President shall appoint a successor from the existing Board with the approval of the Board.
ARTICLE X: MEETINGS
There shall be two meetings of the general membership each year; the “kick off” meeting in the fall and the Spring Luncheon. A minimum of 2 weeks’ notice will be given.
The Board will meet once a month.
Four Board members at the meetings will constitute a quorum.
Special meetings may be called at any time by the President. Any 2 members of the Board or by 25% petition of the members may also call a special meeting at any time.
ARTICLE XI: RULES ESTABLISHMENT AND ENFORCEMENT
The Board may establish and enforce any and all rules and regulations deemed advisable and necessary. The Board will address any issues relating to rules enforcement.
